1. Services Provided
Leaf It To Rakhi ("Service Provider," "Rakhi") provides indoor plant care services on a monthly subscription basis. Services are performed at the client's residence. All services described on the website and discussed during the free assessment are subject to availability and scheduling.
The Service Provider is an independent contractor, not an employee, agent, or partner of the client. Nothing in this agreement creates an employer-employee relationship, partnership, or joint venture.
2. Payment Terms
Payment is due monthly via Venmo, Zelle, or Cash App. The client agrees to pay the agreed-upon monthly rate by the 1st of each service month. Failure to pay within 7 days may result in suspension of services until the balance is settled. The Service Provider reserves the right to adjust pricing with 14 days written notice.
3. Cancellation Policy
Cancel or pause plant care at any time with no penalty. A courtesy heads-up is appreciated so Rakhi can adjust her schedule.
4. Plant Care Limitations and Liability
The Service Provider will exercise reasonable care and professional judgment in maintaining the client's plants. However, the Service Provider does not guarantee the survival, health, or growth of any plant. Plants are living organisms affected by many factors beyond the Service Provider's control, including but not limited to: pre-existing conditions, pest infestations present before service began, environmental factors (HVAC, drafts, temperature fluctuations), light conditions, water quality, soil conditions, and actions taken by the client or other household members between visits.
The Service Provider is not liable for any plant that declines, becomes damaged, or dies for any reason, including during the course of normal care. If a plant declines under care, the Service Provider will communicate promptly and adjust the care plan. Replacement of plants is at the Service Provider's sole discretion and is not guaranteed.
5. Home Access and Security
The client agrees to provide reliable access to their home for scheduled visits (key, door code, fob, smart lock, or other agreed-upon method). The Service Provider will keep all keys, codes, and access information secure and confidential. Keys will not be labeled with the client's name or address. All access materials will be returned upon termination of services.
The Service Provider is not responsible for any theft, damage, or security incident that occurs at the client's home unless directly caused by the Service Provider's actions. The Service Provider is not responsible for pre-existing property damage, wear and tear, or damage caused by pets.
6. Assumption of Risk
The client acknowledges that plant care involves inherent risks, including but not limited to: plant loss, property damage, and unforeseen issues. By engaging the Service Provider's services, the client voluntarily assumes all risks associated with the services provided.
7. Limitation of Liability
To the maximum extent permitted by law, the Service Provider's total liability for any and all claims arising from or related to the services shall not exceed the total amount paid by the client to the Service Provider in the 30 days preceding the incident. In no event shall the Service Provider be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to emotional distress, loss of companionship, or sentimental value.
8. Indemnification
The client agrees to indemnify, defend, and hold harmless the Service Provider from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to: the client's breach of this agreement, inaccurate or incomplete information provided by the client, the client's negligence, pre-existing conditions of plants not disclosed to the Service Provider, or any third-party claims related to the client's property.
9. Accurate Information
The client agrees to provide complete and accurate information about their plants, home environment, and any known hazards. Failure to disclose relevant information releases the Service Provider from liability for any resulting issues.
10. Photo and Video Consent
The client grants the Service Provider permission to take photos and videos of plants during visits. These may be used for: sending updates to the client, posting on social media and marketing materials (Instagram, website, flyers), and portfolio purposes. No identifying information about the client's home address or personal details will be shared. The client may revoke this consent in writing at any time.
11. Force Majeure
The Service Provider is not liable for failure to perform services due to circumstances beyond reasonable control, including but not limited to: severe weather, natural disasters, illness, road closures, vehicle breakdown, pandemic restrictions, power outages, or other acts of God. The Service Provider will notify the client as soon as possible and make reasonable efforts to reschedule.
12. Dispute Resolution
Any disputes arising from this agreement shall first be addressed through good-faith informal negotiation between the parties. If a resolution cannot be reached within 30 days, the parties agree to pursue mediation in Dallas County, Texas before initiating any legal action. The prevailing party in any legal action shall be entitled to recover reasonable attorney's fees and costs from the other party. This agreement shall be governed by the laws of the State of Texas.
13. Termination
Either party may terminate this agreement at any time for any reason. The client remains responsible for payment for all services already rendered. Upon termination, the Service Provider will return all keys and access materials within 7 days. The limitation of liability and indemnification provisions survive termination of this agreement.
14. Entire Agreement
This agreement constitutes the entire understanding between the client and the Service Provider. It supersedes all prior discussions, agreements, or representations. This agreement may only be modified in writing with the consent of both parties. If any provision is found to be unenforceable, the remaining provisions shall remain in full effect.
